Whistle Blower Policy

Objective

The Company is committed to adhere to the highest standards of ethical, moral and legal conduct of business operations. To maintain these standards, the Company encourages its employees who have concerns about suspected misconduct to come forward and express these concerns without fear of punishment or unfair treatment. This policy aims to provide an avenue for employees to raise concerns on any violations of legal or regulatory requirements, incorrect or misrepresentation of any financial statements and reports, etc.

Scope

This policy shall be applicable to all Employees of Paytm Payments Bank.

Definition

Paytm Payments Bank is committed to adopting the highest business, governance, ethical and legal standards. An important policy that formulates to enable all employees to raise concern against any malpractice such as immoral, unethical conduct, fraud, corruption, potential infractions of the Code of Conduct of the Company, breaches of copyright or patent and alike. The Whistle Blower Policy covers all employees, including directors of the Bank. The` Whistle Blower Policy encourages employees to report any breach of any law, statute or regulation by the Bank, issues related to accounting policies and procedures, acts resulting in financial or reputation loss and actual or suspected fraud and criminal offences. The Policy provides a secure mechanism for employees to raise concerns (with an option to remain anonymous), which are appropriately and independently investigated, addressed and reported to the Audit Committee of the Board. The policy also ensures appropriate protection to the individuals raising the concerns. The Whistle Blower policy also complies with the vigil mechanism as envisaged by the Companies Act, 2013 and the rules framed thereunder.
